Terms of Service
Effective Date: April 6, 2026
Last Updated: April 6, 2026
These Terms of Service ("Terms") govern your access to and use of TracLedger, operated by TracLedger ("TracLedger," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
TracLedger is an income intelligence dashboard that helps freelancers and business owners track income across multiple platforms, categorize expenses using AI, estimate quarterly self-employment tax obligations and generate reports for accountants. The Service connects to third-party financial platforms (including Plaid, Stripe and Square) to access your financial data with your authorization.
TracLedger is not a licensed tax advisor, certified public accountant, financial advisor, bookkeeper or tax preparation service. The Service provides estimates and informational tools only.
2. Eligibility
You must be at least 18 years old to use TracLedger. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using TracLedger on behalf of a business, you represent that you have the authority to bind that business to these Terms.
3. Account Registration and Security
When you create an account, you agree to:
- Provide accurate, current and complete information
- Maintain the security of your password and account credentials
- Notify us immediately at [email protected] if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You may not share your account credentials with any other person or allow any other person to access the Service through your account. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or accessed by unauthorized parties.
4. Not Tax, Legal or Financial Advice
This is important — please read carefully.
All tax estimates, deduction suggestions, IRS publication citations, quarterly payment calculations, accountant packets and any other financial information provided by TracLedger — including information provided by Marie-Flynn, our AI assistant — are for informational and educational purposes only. They do not constitute tax advice, legal advice, financial advice or any other form of professional advice.
TracLedger's tax estimates are based on publicly available IRS tax rates, user-provided information and AI-powered analysis. These estimates may be inaccurate, incomplete or inapplicable to your specific tax situation. Factors including but not limited to additional income sources, deductions, credits, state-specific rules, local tax ordinances, changes in tax law and your individual financial circumstances may cause your actual tax liability to differ materially from TracLedger's estimates.
You should always consult a qualified tax professional, certified public accountant or licensed financial advisor before making any tax or financial decisions.
TracLedger is not responsible for any tax penalties, interest, underpayments, overpayments, missed deductions, filing errors or any other financial consequences resulting from your reliance on information provided by the Service.
5. AI-Powered Features Disclaimer
TracLedger uses artificial intelligence for expense categorization, tax deduction guidance and the Marie-Flynn AI assistant. You acknowledge and agree that:
- AI-generated categorizations, suggestions and answers may be inaccurate, incomplete or inappropriate for your specific situation
- IRS publication citations provided by the AI are based on retrieval from our knowledge base and may not reflect the most current guidance or may be incorrectly applied to your circumstances
- Confidence scores provided with AI responses are estimates and do not guarantee accuracy
- You are solely responsible for verifying any AI-generated information before relying on it for tax filing or financial decisions
- AI features may occasionally be unavailable due to third-party service disruptions
6. Third-Party Services
TracLedger integrates with third-party services including Plaid, Stripe, Square and Google. By connecting these services through TracLedger, you agree to comply with their respective terms of service:
- Plaid: https://plaid.com/legal/
- Stripe: https://stripe.com/legal
- Square: https://squareup.com/legal/general/ua
- Google: https://policies.google.com/terms
We are not responsible for the availability, accuracy or reliability of data provided by these third-party services. If a third-party service experiences an outage, provides incorrect data or changes its API, TracLedger's functionality and data accuracy may be affected. We will make reasonable efforts to address such issues but cannot guarantee uninterrupted or error-free data from third-party sources.
7. Data Accuracy
Financial data displayed in TracLedger is sourced from your connected financial platforms and processed by our systems. While we strive for accuracy, you acknowledge that:
- Transaction data is provided by your financial institutions through Plaid and may contain errors, delays or omissions
- Expense categorizations are AI-generated and may require manual correction
- Tax calculations are based on the information available to us and the tax rates in our system, which may not reflect the most recent changes to tax law
- Income and profit figures are based on available transaction data and may not represent your complete financial picture
- You are responsible for reviewing and verifying all data, calculations and reports before relying on them
8. Subscription Plans, Billing and Free Trials
8.1 Plans and Pricing
TracLedger offers free and paid subscription plans. Features available to you depend on your selected plan. Current pricing is displayed at tracledger.com and may be updated from time to time.
8.2 Free Trials
Paid plans may include a free trial period. No credit card is required to start a free trial. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan. You will not be charged without your explicit consent.
8.3 Billing
Paid subscriptions are billed monthly or annually as selected at the time of purchase. Payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
8.4 Cancellation
You may cancel your subscription at any time from your account settings or through the Stripe billing portal. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. After that, your account will revert to the Free plan.
8.5 Refunds
Refunds are provided at our discretion. If you believe you have been charged in error, contact [email protected] within 14 days of the charge.
8.6 Price Changes
We reserve the right to change subscription pricing with at least 30 days' written notice to your registered email address. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

10.1 Our Property
TracLedger, including its design, code, features, branding, documentation and AI systems, is owned by TracLedger and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
10.2 Your Data
You retain ownership of all data you provide to or generate through the Service, including your financial data, uploaded documents and profile information. 10.3 Feedback
If you provide suggestions, ideas or feedback about the Service, you grant us the right to use that feedback without restriction or compensation to you.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
In no event shall TracLedger, its officers, directors, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to:
- Incorrect tax estimates, missed deductions or tax penalties
- Financial losses resulting from reliance on the Service
- Data loss or corruption
- Service interruptions or downtime
- Errors in AI-generated categorizations or recommendations
- Inaccurate data provided by third-party services

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the total amount you paid to TracLedger in the twelve (12) months preceding the claim, or (b) fifty dollars ($50).
12. Indemnification
You agree to indemnify, defend and hold harmless TracLedger and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; any tax filing, payment or financial decision you make based on information provided by the Service; or your negligence or willful misconduct.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
13.2 Binding Arbitration
If we cannot resolve a dispute informally, you and TracLedger agree to resolve any claims relating to these Terms or the Service through final and binding individual arbitration, except as set forth below. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than through arbitration, you and TracLedger each waive any right to a jury trial.
13.4 Exceptions
Either party may bring claims in small claims court if eligible. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Leon County, Florida.
15. Termination
15.1 By You
You may delete your account at any time through your account settings. Upon deletion, all your data will be permanently removed in accordance with our Privacy Policy.
15.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. If we terminate your account for reasons other than a Terms violation, we will provide reasonable notice and a pro-rated refund for any prepaid subscription period.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TracLedger regarding your use of the Service and supersede any prior agreements.
